HERBALIFE NUTRITION ANNOUNCES PROPOSED OFFERING OF $400 MILLION AGGREGATE

PRINCIPAL AMOUNT OF SENIOR NOTES TO REFINANCE AMOUNTS UNDER ITS EXISTING CREDIT FACILITY

LOS ANGELES (August 6, 2018)—Herbalife Nutrition Ltd. (NYSE: HLF) (the “Company”) today announced that HLF Financing SaRL, LLC and Herbalife International, Inc., each a wholly owned subsidiary of the Company, intend, subject to market and other conditions, to offer $400 million aggregate principal amount of senior notes due 2026 (the “Notes”) in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.

The Company expects to use the net proceeds from this offering, together with borrowings under a new senior secured credit facility, to refinance all amounts outstanding under its existing senior secured credit facilities and to pay related fees and expenses. Any remaining net proceeds will be used for general corporate purposes.
